1. Who we are

Bulk Wholesale Ingredients ("BWI", "we") sells the bulk ingredients listed on this website (the "Platform") directly to business buyers. BWI may later add listings from qualified third-party sellers. Those listings will be clearly marked, and for them BWI is a venue only, as section 5 explains.

2. Acceptance

Using the Platform means you accept these terms, the Buyer Terms or Seller Terms as applicable, the Acceptable Use Policy, the Disclaimers, and the Privacy Policy. If you use the Platform for a business, you represent you are authorized to bind that business.

3. Listings and content

BWI publishes its listings in good faith. Specifications, availability, and pricing change often; the binding description of any goods is BWI's quote or invoice and the certificate of analysis for the lot shipped. Content on any third-party listing is provided by that seller, who is responsible for it. BWI performs the good-faith checks described on the Trust and Verification page but does not warrant third-party content.

4. Certificates

Certificates of analysis for goods BWI sells are issued by the producer or an independent laboratory for the specific lot. Registry checks shown on the Platform are good-faith checks on the date shown; they are not a separate certification by BWI.

5. Transactions

For goods BWI sells, BWI is the seller. Advertised prices are invitations to obtain a quote, not binding offers, and may change with availability. A sale is formed when BWI accepts your order on a written quote or invoice stating price, quantity, lot, freight, and payment terms. For a marked third-party listing, the contract is between you and that seller; BWI may pass inquiries and documents between you without becoming a party.

6. Fees

Browsing and requesting quotes is free. Seller fees and placement products, if ever offered, are stated in writing at purchase.

7. Prohibited conduct

The Acceptable Use Policy is part of these terms. The Platform may remove content, decline listings, or suspend access at its discretion to protect users or comply with law.

8. Intellectual property and DMCA

The Platform and its content (excluding user content) belong to BWI or its licensors. Copyright complaints go to the designated agent at admin@bulkwholesaleingredients.com and will be handled under the Digital Millennium Copyright Act. Repeat infringers lose access.

9. Disclaimer of warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, BWI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING. FOR GOODS BWI SELLS, BWI'S ONLY WARRANTY IS THAT THE GOODS CONFORM AT SHIPMENT TO THE CERTIFICATE OF ANALYSIS FOR THE LOT SHIPPED. GOODS SOLD BY THIRD-PARTY SELLERS CARRY ONLY THE WARRANTIES, IF ANY, THAT THE SELLER EXTENDS.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BWI IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM THE PLATFORM OR ANY TRANSACTION FACILITATED THROUGH IT. FOR GOODS BWI SELLS, BWI'S AGGREGATE LIABILITY IS LIMITED TO THE PRICE YOU PAID FOR THE GOODS GIVING RISE TO THE CLAIM. FOR ALL OTHER CLAIMS IT IS LIMITED TO ONE HUNDRED DOLLARS.

11. Indemnification

You will defend and indemnify BWI against claims arising from your processing, labeling, marketing, or resale of goods, your content or listings, your use of the Platform, or your violation of these terms or applicable law.

12. Disputes, arbitration, class waiver

Disputes with BWI are resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Orange County, California, and both sides waive jury trial and class proceedings. Either side may instead bring a qualifying claim in small-claims court, and either side may seek injunctive relief in court for misuse of intellectual property or confidential information.

13. Governing law

These terms are governed by the laws of the State of California, without regard to conflicts rules. Subject to the arbitration provision above, the state and federal courts located in Orange County, California are the exclusive venue for any court proceeding, and you consent to their jurisdiction.

14. Changes

Terms may change; material changes will be posted here with a new updated date, and continued use after posting is acceptance.
