1. What this platform is

Bulk Wholesale Ingredients (the "Platform") is a marketplace venue that introduces buyers and sellers of bulk ingredients and provides tools for listing, inquiry, and documentation exchange. The Platform is not a party to any transaction between buyers and sellers, does not take title to or custody of goods, does not manufacture, test, or inspect goods, and is not a broker, agent, or fiduciary of any user.

2. Acceptance

Using the Platform means you accept these terms, the Buyer Terms or Seller Terms as applicable, the Acceptable Use Policy, the Disclaimers, and the Privacy Policy. If you use the Platform for a business, you represent you are authorized to bind that business.

3. Listings and content

Listings, specifications, certificates, and statements about goods are provided by sellers. The Platform performs good-faith verification described on the Trust and Verification page, but it would be impossible for the Platform to fully vet every listing, document, or statement, and the Platform does not warrant the accuracy, completeness, or legality of user content. Responsibility for claims and statements rests with the user who made them.

4. Certificates

Current, valid certificates are required for all transactions conducted through the Platform. Certificate validation performed by the Platform is a good-faith check against available registries and documents on the date shown; it is not a guarantee, warranty, or certification by the Platform.

5. Transactions

Quotes, purchase contracts, payment, and delivery are between buyer and seller. Advertised prices are invitations to obtain a quote, not binding offers, and may change with availability. The Platform may transmit inquiries and documents between the parties without becoming a party itself.

6. Fees

Browsing and requesting quotes is free for buyers. Seller fees, sponsorship, and placement products, when offered, are stated in writing at purchase.

7. Prohibited conduct

The Acceptable Use Policy is part of these terms. The Platform may remove content, decline listings, or suspend access at its discretion to protect users or comply with law.

8. Intellectual property and DMCA

The Platform and its content (excluding user content) belong to Wiaterra LLC. Copyright complaints go to the designated agent at legal@bulkwholesaleingredients.com and will be handled under the Digital Millennium Copyright Act. Repeat infringers lose access.

9. Disclaimer of warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WIATERRA LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING. GOODS SOLD BY SELLERS CARRY ONLY THE WARRANTIES, IF ANY, THAT THE SELLER EXTENDS.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WIATERRA LLC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM THE PLATFORM OR ANY TRANSACTION FACILITATED THROUGH IT. THE AGGREGATE LIABILITY OF WIATERRA LLC FOR ALL CLAIMS IS LIMITED TO THE GREATER OF ONE HUNDRED DOLLARS OR THE FEES YOU PAID THE PLATFORM IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

11. Indemnification

You will defend and indemnify Wiaterra LLC against claims arising from your listings, statements, goods, use of the Platform, or violation of these terms or applicable law.

12. Disputes, arbitration, class waiver

Disputes with the Platform are resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Orange County, California, and both sides waive jury trial and class proceedings. Either side may instead bring a qualifying claim in small-claims court, and either side may seek injunctive relief in court for misuse of intellectual property or confidential information.

13. Governing law

These terms are governed by the laws of the State of California, without regard to conflicts rules. Subject to the arbitration provision above, the state and federal courts located in Orange County, California are the exclusive venue for any court proceeding, and you consent to their jurisdiction.

Terms may change; material changes will be posted here with a new updated date, and continued use after posting is acceptance.
